Job Summary/Overview: As Senior Paralegal, you will be a member of Geronimo Power’s dynamic and growing Legal Department, supporting the team in corporate governance, legal entity management, compliance, corporate transactions, contract drafting, contract management and litigation support. You will manage our corporate subsidiary compliance and records program, preparing and assisting with compliance filings, assisting attorneys with other key industry regulatory filings at the federal, state and local levels, providing support for commercial and other external corporate transactions, including corporate due diligence, assisting in the management of intracompany relationships, and corporate governance. You will engage with various committees and boards of managers on agendas and presentation materials.
Location: This position will be located in Bloomington MN. Depending on the level of experience, the Legal Department will consider a remote working arrangement.
Role and Responsibilities:
Corporate Governance
· Support our attorneys in preparing and maintaining records, including assembling board and committee packages, maintaining board and committee annual task schedules, and creating meeting agendas.
· Assist our attorneys in maintaining and updating internal corporate governance policies and rolling out compliance practices and training for our internal colleagues.
- Perform corporate secretary function, including maintenance of entity minute books and directing certain subsidiary and joint venture board of managers and committee meetings.
- Maintain a legal entity management system.
Subsidiary Compliance and Maintenance
· Manage recordkeeping and annual compliance for our many subsidiaries, including maintaining ownership registers, entity resolutions and other documents.
· Assist in the preparation of subsidiary entity resolutions and filings.
· Organize and dissolve subsidiaries in various state jurisdictions, at the direction of attorneys.
Entity Transactions
· Assist the Geronimo Power Legal Department on commercial transactions and governance documentation, including liaising with outside counsel.
· Support internal entity initiatives, including subsidiary rationalization.
· Assist with management of day-to-day intracompany subsidiary relationships, including drafting of agreements, resolutions, etc.
· Assist our attorneys in maintaining Legal Department policies and compliance practices for internal colleagues.
· Assist with internal and external due diligence for commercial transactions, including assistance with data rooms and acquisition integration efforts.
· Manage Legal SharePoint and Teams site and document management
- Assist with other project(s) or analysis as assigned.
- Work on other special projects, as directed by attorneys.
Skills and Experience:
- B.S. or B.A. and/or Paralegal training.
- Strong experience working as a paralegal, preferably at both public company and law firm.
- Proficiency in legal entity management and related software.
- Experience with board meetings, communicating with board members and executives, preparing board materials, conducting board and committee meetings and working with board portals.
- Experience working in a compliance function preferred.
- Strong attention to detail, impeccable organizational skills and proven written and verbal communication skills, including ability to communicate effectively with senior management.
- Customer service focus, flexibility and ability to work under pressure and within short time constraints.
- Ability to process confidential data and maintain complete discretion.
- Excellent working knowledge of Office 365 applications.
- Self-confidence to enable effective communication with executives and administration of board and committee meetings.
- Must be self-motivated, responsive and enthusiastic, with the ability to work independently and as a team member.
- Ability to collaborate and partner effectively with cross-functional teams.
- In-depth knowledge of corporate legal terminology, practices and principles.
- Willingness to learn new industry regulations and processes.
- Familiarity with common corporate record keeping and calendaring software.
Pay Range for the posted level: Minimum of $80,000 – 100,000.00
