Senior Counsel - Corporate & Business Affairs
Global pharmaceutical company located in North, NJ seeks a Senior Counsel - Corporate & Business Affairs. The salary is up to $170K plus target bonus (20%-25%).
Primary Duties
The successful Senior Counsel - Corporate & Business Affairs serves as a strategic partner by functioning independently and provides legal advice, counsel and transaction support to all levels of the organization, with a focus on specifically assigned internal business unit clients, including, Oncology Business Unit, Neurology Business Unit, Manufacturing, Finance, Information Technology, Business Development & Alliance Management, and Established Products working under the guidance of the Assistant General Counsel to provide proactive and strategic counsel to help business unit clients accomplish goals in a legally compliant manner, consistent with the Legal Department Mission Statement. Duties include drafting contracts involving, pharmaceutical collaboration agreements, technology/product licenses, real estate, manufacturing, finance, banking, information technology outsourcing and services, dispute settlements, insurance, mergers, acquisitions and related matters; supporting corporate governance matters and record keeping functions as needed; keeping current on legislative issues, statutes, decisions and ordinances of quasi-judicial bodies; acting as an agent of corporation in various transactions; advising assigned business clients regarding concerns for risk assessment; and, being the primary liaison with outside counsel for matters designated by supervisor.
Key Responsibilities:
- Provides proactive and day-to-day legal support, advice and counsel on transactional and corporate matters to all levels of the organization
- Manages the legal and reputational risks of assigned business clients and transactions
- Serves as legal interface with legal department colleagues affiliates companies and alliance partners on global issues as needed
- Manages corporate governance and record-keeping for the company and subsidiaries in compliance with applicable law
- Proactively informs assigned business client of important legal, enforcement and other industry developments
Requirements
- 8+ years as a practicing, licensed attorney with significant client contact and varied responsibility
- Transactional experience related to the pharmaceutical industry
- Member in good standing of a state bar
- Good level of multi-tasking ability to learn quickly and in a fast paced, matrixed environment
- Ability to participate on key teams and/or be involved in key projects
- Excellent oral and written communication skills; able to effectively present ideas, counsel and information to others
- Strong knowledge of the pharmaceutical industry and ability to identify and propose solutions to relevant legal issues and risks
- Vast knowledge in a range of legal areas of relevance to the company’s operations
- Ability to command respect from management
